Terms of Service

1. Acceptance of Terms
By accessing or using the carecoordin8 website, mobile application, and services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and carecoordin8 Inc. ("carecoordin8," "we," "us," or "our").
2. Description of Service
carecoordin8 operates an online marketplace that connects individuals and families seeking personal support services ("Clients") with certified Personal Support Workers and Community Helpers ("PSWs" or "Caregivers"). carecoordin8 is a technology platform and is not a healthcare provider, staffing agency, or employer of PSWs.
3. Independent Contractor Relationship
PSWs who use the Platform are independent contractors, not employees, agents, or representatives of carecoordin8. carecoordin8 does not control the manner, method, or means by which PSWs perform their services. PSWs are solely responsible for:
- Determining their own hours, rates, and availability.
- The quality and nature of the care they provide.
- Maintaining valid certifications and professional standards.
- Complying with all applicable laws, including tax obligations as self-employed individuals.
- Carrying appropriate personal liability insurance as needed.
Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between carecoordin8 and any PSW.
4. Eligibility and Accounts
You must be at least 18 years of age and legally authorized to work or receive services in Canada to use the Platform. When you create an account, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
5. Platform Fee
carecoordin8 charges a platform service fee of 10% on each completed booking. This fee is calculated based on the total booking amount (PSW's hourly rate multiplied by hours worked). The fee is deducted from the PSW's earnings before payout. Clients pay the PSW's posted hourly rate plus the 10% service fee. All fees are displayed transparently before a booking is confirmed.
We reserve the right to modify our fee structure with 30 days' advance notice to all active users.
6. Booking and Cancellation Policy
6.1 Booking
All bookings must be made through the Platform. Clients submit booking requests to PSWs, who may accept or decline at their discretion. A booking is confirmed only when the PSW accepts the request and payment authorization is obtained from the Client.
6.2 Client Cancellations
- More than 24 hours before the session: Full refund, no fee charged.
- Within 24 hours of the session: A cancellation fee equal to one hour of the PSW's rate is charged and paid to the PSW.
- Within 2 hours or no-show: A cancellation fee equal to 50% of the full session rate is charged and paid to the PSW.
6.3 PSW Cancellations
PSWs who cancel confirmed bookings may have their reliability rating affected. Repeated cancellations may result in reduced visibility on the Platform or account suspension. PSWs should update their availability calendar promptly to avoid conflicts.
7. Payments
All payments are processed through the Platform using our secure, PCI-compliant payment processor. Clients must provide a valid payment method to make bookings. PSW earnings, less the platform fee, are deposited to the PSW's carecoordin8 wallet after each completed session. PSWs may withdraw funds to their linked bank account at any time, with transfers typically arriving within 1-2 business days.
Off-platform payments between Clients and PSWs are strictly prohibited and may result in account suspension or termination.
8. Platform Liability Limitations
To the fullest extent permitted by applicable law:
- carecoordin8 is not responsible for the quality, safety, legality, or suitability of the care services provided by PSWs.
- carecoordin8 does not guarantee the accuracy of PSW profiles, certifications, or reviews, though we take reasonable steps to verify this information.
- carecoordin8 is not liable for any injury, loss, damage, or claim arising from interactions between Clients and PSWs, whether during or after a care session.
- carecoordin8's total aggregate liability to you for any claim arising from or related to the Platform shall not exceed the total fees you have paid to carecoordin8 in the 12 months preceding the claim.
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Dispute Resolution
In the event of a dispute between a Client and a PSW regarding a booking, session quality, or payment, the parties agree to first attempt resolution through carecoordin8's internal mediation process. You may contact our support team to initiate a dispute within 7 days of the relevant session.
If the dispute cannot be resolved through mediation, it shall be submitted to binding arbitration administered by the ADR Institute of Canada, in accordance with its arbitration rules. The arbitration shall take place in Toronto, Ontario. The language of the arbitration shall be English.
Nothing in this section prevents either party from seeking injunctive or equitable relief from a court of competent jurisdiction where necessary.
10. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
- Provide false, misleading, or inaccurate information in your profile or communications.
- Circumvent the Platform's payment system by arranging off-platform payments with users you met through carecoordin8.
- Harass, threaten, discriminate against, or engage in abusive behaviour toward any user or carecoordin8 staff member.
- Impersonate any person or misrepresent your affiliation with any person or entity.
- Interfere with or disrupt the Platform's infrastructure, security, or functionality.
- Scrape, harvest, or collect user data from the Platform without authorization.
- Post or transmit viruses, malware, or other harmful code.
- Create multiple accounts to circumvent account restrictions or suspensions.
11. Account Termination
You may deactivate your account at any time through your account settings or by contacting us at [email protected]. We may suspend or terminate your account, without prior notice, if we reasonably believe you have violated these Terms, engaged in prohibited conduct, or pose a risk to the safety of other users. Upon termination:
- Outstanding bookings will be cancelled and appropriate refunds or cancellation fees will be processed.
- PSWs will receive any earned but unpaid funds, less the platform fee.
- Your profile will be removed from public search results.
- We may retain certain information as required by law or for legitimate business purposes, as described in our Privacy Policy.
12. Intellectual Property
All content, design, graphics, logos, and software on the Platform are owned by carecoordin8 or its licensors and are protected by Canadian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works from any Platform content without our prior written consent.
13. Indemnification
You agree to indemnify, defend, and hold harmless carecoordin8, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of the Province of Ontario, and you consent to the jurisdiction of such courts.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Platform or sending you an email at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
